Service
These Terms of Service govern all access to and use of the AML Guild platform, operated by NIYEAHMA Consultants LLP and its associated entities.
These Terms of Service (the Terms) govern all access to and use of the AML Guild platform (the Platform), operated by NIYEAHMA Consultants LLP and its associated entities (AML Guild, we, us, or our).
By registering on or using the Platform, you confirm that you have read and agree to be bound by these Terms, together with the Privacy Policy, Refund and Cancellation Policy, and Service Delivery and Fulfilment Policy, which together form the complete AML Guild policy suite.
Where you act on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.
Definitions
The following expressions have the meanings set out below and apply across all four policies in this suite:
- Platform means the AML Guild digital marketplace and all associated tools and systems.
- Client means any individual, regulated business, financial institution, DNFBP, fintech, VASP, legal professional, government body, or regulatory authority that engages an Expert through the Platform.
- Expert means a vetted compliance professional approved by AML Guild to offer AML/CFT/CPF advisory services through the Platform.
- Engagement means any arrangement between a Client and an Expert facilitated through the Platform.
- Engagement Agreement means the specific scope, fees, timelines, and deliverables agreed between a Client and an Expert for a particular Engagement.
- Fees mean all amounts payable by a Client in respect of an Engagement, inclusive of any applicable platform service charge.
- Confidential Information means any non-public information disclosed in connection with an Engagement, including compliance findings, internal policies, transaction data, and regulatory correspondence.
- Force Majeure Event means any circumstance beyond a party's reasonable control, including acts of God, regulatory intervention, cyberattacks, or infrastructure failure.
AML Guild's Role
AML Guild operates as a professional marketplace. It facilitates connections between Clients and Experts and oversees quality and delivery milestones.
AML Guild does not itself provide AML/CFT/CPF advisory services. All compliance advice, analysis, and deliverables are provided by the relevant Expert or companies they represent in their independent professional capacity.
AML Guild's quality oversight role is detailed in the Service Delivery and Fulfilment Policy.
Registration and Eligibility
To access the Platform, you must register and maintain an account with accurate, current, and complete information. By registering, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter a binding agreement
- When acting on behalf of an organisation, you have the authority to bind that organisation
- You are not subject to any sanction, debarment, or regulatory prohibition preventing your participation
- All information provided is truthful, accurate, and not misleading
AML Guild may refuse, suspend, or terminate any account where these conditions are not met, or these Terms are breached.
Engagement Types
The Platform supports the following Engagement structures, each governed by an Engagement Agreement:
4.1 Hourly Engagements
The Client engages the Expert at an agreed hourly rate for a defined number of hours. Suited to focused advisory sessions, regulatory queries, or initial scoping discussions.
4.2 Fixed-Fee Engagements
A fixed price is agreed for a defined scope of work with specified deliverables. The fee is payable per the agreed schedule, regardless of actual time spent, provided deliverables are met.
4.3 Variable Time and Effort Engagements
Where the scope is subject to change or complexity is difficult to determine in advance, Engagements may be structured on a variable basis. Fees are calculated on actual time and resources applied, within parameters agreed in the Engagement Agreement.
4.4 Assignment-Based Engagements
For longer-term or project-based work, Clients may engage an Expert across defined phases and milestones. Payment triggers are linked to milestone completion as set out in the Engagement Agreement.

Delivery standards and milestone oversight are in the Service Delivery and Fulfilment Policy.
Fees and Payment
All Fees are agreed between the Client and Expert prior to commencement and confirmed in the Engagement Agreement. AML Guild may apply a platform service charge, disclosed clearly at the time of booking.
Fees are payable in the currency and on the schedule in the Engagement Agreement. All payments are processed through AML Guild's secure third-party payment infrastructure.
Where an Expert's time or deliverables are provided and accepted, the Client's obligation to pay is absolute, subject to the dispute resolution procedure in Clause 11.
The no-refund position applicable to all bookings is in the Refund and Cancellation Policy.
Confidentiality
Each party agrees to keep Confidential Information strictly confidential and not to disclose it to any third party without prior written consent, except:
- Where disclosure is required by applicable law, regulation, or order of a competent authority
- Where the information is already in the public domain through no fault of the receiving party
- Where disclosure is made to professional advisers bound by equivalent obligations
This obligation survives termination of these Terms or any Engagement Agreement. Experts must not use Client information for any purpose beyond the relevant Engagement. Clients must not disclose Expert methodologies or proprietary approaches without consent.
Personal data shared during an Engagement is also governed by the Privacy Policy.
Intellectual Property
Unless agreed otherwise in an Engagement Agreement, intellectual property in materials, frameworks, or methodologies created independently by an Expert remains vested in that Expert. Deliverables produced specifically for a Client vest in the Client upon full payment of all Fees due.
AML Guild retains all intellectual property rights in the Platform, its branding, tools, content, and infrastructure.
Warranties and Representations
Each Client warrants that it is a legitimate business or individual with a genuine compliance need, will engage Experts in good faith, and will not solicit Experts for work to be conducted outside the Platform.
Each Expert warrants that they hold the qualifications and experience represented on their profile, will deliver Engagements with reasonable skill and professional diligence, will disclose any conflict of interest prior to accepting an Engagement, and maintain appropriate professional indemnity insurance where applicable.
Limitation of Liability
AML Guild accepts no liability for:
- The accuracy, completeness, or regulatory suitability of any advice, analysis, or deliverable provided by an Expert
- Any regulatory finding, enforcement action, financial penalty, or reputational consequence arising from reliance on Expert advice
- Any failure by an Expert to meet professional standards or deliver agreed outputs
- Any loss arising from a Force Majeure Event
To the fullest extent permitted by applicable law, AML Guild's aggregate liability to any party shall not exceed the platform service charge paid in respect of the relevant Engagement.
Nothing in these Terms excludes liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.
Clients are responsible for evaluating Expert advice independently and for ensuring that their compliance programmes meet applicable regulatory requirements. Engagement of an Expert through AML Guild does not constitute a guarantee of regulatory compliance.
Platform Conduct
All users agree not to provide false or misleading information, circumvent the Platform to engage directly outside AML Guild's systems, use the Platform for any unlawful purpose, interfere with the Platform's technical infrastructure, or post content that is defamatory or in breach of third-party rights.
AML Guild may remove content, suspend accounts, or terminate access where these obligations are not met.
Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or any Engagement, the parties agree to first seek resolution through good-faith negotiation initiated by written notice.
If a dispute is not resolved within 30 days of such notice, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Ahmedabad, Gujarat, India. The language of arbitration shall be English. The arbitral award shall be final and binding.
Nothing in this clause prevents either party from seeking emergency interim relief from a competent court where necessary to preserve its rights.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Subject to Clause 11, the courts of Ahmedabad, Gujarat, India shall have non-exclusive jurisdiction.
Termination
Either party may terminate their account by written notice to AML Guild. Termination does not affect any Engagement already in progress, which continues under the applicable Engagement Agreement until completion.
AML Guild may suspend or terminate access immediately where a user has breached these Terms, engaged in fraudulent or unlawful conduct, or poses a risk to the Platform or other users.
Obligations relating to confidentiality, intellectual property, outstanding Fees, and dispute resolution survive termination.
Amendments
AML Guild may amend these Terms from time to time. Where amendments are material, notice will be provided at least 14 days prior to the changes taking effect. Continued use of the Platform following the effective date constitutes acceptance.
General
- Entire Agreement: These Terms, together with the Privacy Policy, Refund and Cancellation Policy, and Service Delivery and Fulfilment Policy, constitute the entire agreement between the parties and supersede all prior representations and agreements.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to do so in future.
- Notices: All formal notices shall be sent to info@amlguild.com or to the contact details provided at registration.
- No Assignment: You may not assign your rights or obligations without AML Guild's prior written consent.
